Terms of Service

1. Introduction

By purchasing, downloading, accessing, or using .NET SaaS (the "Software"), you ("the Customer") confirm your acceptance of, and agree to be bound by, these Terms of Service ("Agreement"). If you do not agree with these terms, do not purchase or use the Software.

2. Agreement to Terms

This Agreement takes effect on the date you first purchase, download, or use .NET SaaS and remains in force for as long as you retain access to the Software.

3. License Grant

.NET SaaS is delivered as source code through a single, one-time purchase. The license granted is perpetual, worldwide, and non-exclusive, and its scope depends on the plan you purchase:

  • Starter — For individual developers building their own products. Grants the right to use the Software with one (1) frontend framework of your choice (Blazor, Angular, React, or Vue) in an unlimited number of personal or in-house products that you own and operate. Client work, freelance work, and agency deliverables are not covered by this tier.
  • Pro — For teams, freelancers, and agencies. Grants all Starter rights, extended to all four (4) frontend frameworks, and expressly permits use of the Software to build applications for paying clients, including freelance and agency engagements. You may deliver the resulting application you build to your client; you may not deliver, resell, or transfer the .NET SaaS boilerplate source code itself to a client as a standalone asset.
  • Enterprise — Includes all Pro rights plus five (5) hours of consulting and training services, priority email support, and a 30-minute architecture call, subject to scheduling availability. Unused consulting hours expire 12 months from purchase date.

In all tiers, you may not:

  • Resell, redistribute, sublicense, or share the source code in whole or in part, except as compiled and integrated inside an end application you have built;
  • Hand over, transfer, or publish the .NET SaaS boilerplate source code to any third party (including clients) as a standalone deliverable, package, template, or repository;
  • Offer the Software, or a substantially similar derivative, as a competing boilerplate, template, starter kit, or code package;
  • Use the Software to create training data, model weights, or other artifacts intended to reproduce or replace it;
  • Remove or alter copyright, license, or attribution notices embedded in the code.

The license is granted to a single developer (Starter) or a single company / team (Pro and Enterprise). The licensor retains the right to terminate this license, without refund, if you materially breach these terms.

4. Refunds

Due to the nature of digital products and the immediate delivery of source code upon purchase, all sales are final. .NET SaaS cannot be refunded or exchanged once access has been granted. Statutory rights that cannot be waived under applicable law are unaffected.

5. Disclaimer

The Software is provided "as is" and "as available," without warranty of any kind, either express or implied. It is not warranted that .NET SaaS will meet your requirements or that its operation will be uninterrupted or error free. All express and implied warranties or conditions not stated in this Agreement (including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement) are, so far as such exclusion or disclaimer is permitted under applicable law, excluded and expressly disclaimed. This Agreement does not affect your statutory rights as a consumer.

6. Limitation of Liability

.NET SaaS, its creator, and its contributors shall not be liable to you for any loss of profit, loss or corruption of data, business interruption, loss of contracts, or any indirect, special, incidental, consequential, or punitive losses, damages, costs, or claims arising out of or in connection with the provision or use of the Software, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether .NET SaaS was advised of the possibility of such damages.

Notwithstanding anything to the contrary in this Agreement, the total aggregate liability of .NET SaaS arising from or related to this Agreement shall not exceed the amount actually paid by you for the Software. You hereby release .NET SaaS from any and all obligations, liabilities, and claims in excess of this limitation.

7. Customer Responsibilities

.NET SaaS is a development boilerplate. You are solely responsible for:

  • The applications, products, and services you build using the Software;
  • Compliance with all laws and regulations applicable to your applications, including data protection (GDPR, CCPA, etc.), payment processing, taxation, and consumer protection;
  • Any content, data, or user-generated material collected, stored, or processed through your applications;
  • Configuring, securing, hosting, maintaining, and monitoring your own infrastructure, databases, and third-party integrations;
  • Obtaining and managing your own API keys, credentials, and licenses for third-party services referenced by the Software (Stripe, Resend, Sentry, PostHog, etc.).

8. Updates and Support

All plans include lifetime updates to the current major version of .NET SaaS, delivered through the channel used for initial delivery. "Support" means best-effort, email-based response to reasonable questions about the boilerplate itself. Support does not include custom development, debugging of your own code, deployment assistance, or any form of service-level guarantee.

9. Price Adjustments

As .NET SaaS continues to improve and expand, prices may increase over time. Promotional or early-access pricing is offered to help customers lock in the current price before future increases. Past purchases are not affected by subsequent price changes. The price in effect at the time of your purchase is the price you owe.

10. User-Generated Content

.NET SaaS is not responsible for any content, data, or activity generated, collected, or processed by applications you build using the Software. You are fully responsible for the behavior of your applications and their users.

11. Termination

This Agreement remains in effect until terminated. The licensor may terminate your license if you materially breach these terms, including any of the restrictions listed in Section 3. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession. Sections 4, 5, 6, 7, and 10 survive termination.

12. General Terms and Governing Law

This Agreement constitutes the entire agreement between you and .NET SaaS with respect to the Software and supersedes any prior agreements. If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force.

This Agreement is governed by and construed in accordance with the laws of [Your jurisdiction], without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of [Your jurisdiction].

You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and .NET SaaS as a result of this Agreement or your use of the Software. You agree not to hold yourself out as a representative, agent, or employee of .NET SaaS.
